Hurley Audio — Retainer Terms & Conditions

These Terms & Conditions apply to all monthly retainer services provided by Hurley Audio (“Service Provider”) to the Client.

1. Scope of Services


Hurley Audio provides ongoing audio support services on a monthly retainer basis. Services may include, but are not limited to:

  • Podcast editing and mastering

  • Audio cleanup for video content

  • Loudness optimization and delivery formatting

  • Light sound design and music integration

  • Audio quality consultation and workflow support

 

Specific services, deliverables, and monthly hour allocations are defined in the Client’s selected retainer package.

Services outside the agreed scope may be declined or billed separately.

2. Monthly Hour Allocation


Each retainer includes a maximum number of hours per month, as defined in the selected package.

  • Hours include all production, revisions, communication, and project management related to client work.

  • Unused hours do not automatically roll over, unless otherwise agreed in writing.

  • If work exceeds the monthly allocation, additional hours may be billed at the current overage rate or scheduled for the following month.

 

Hurley Audio will make reasonable efforts to notify the Client if usage is approaching the monthly limit.

3. Turnaround Times


Turnaround times vary by retainer tier and project type.

  • Standard turnaround: 48–72 business hours

  • Priority turnaround (if included): 24–48 business hours

 

Turnaround times assume:

  • Clear instructions

  • Timely delivery of all required files

  • No major scope changes mid-project

 

Rush or same-day requests are subject to availability and may incur additional fees.

4. Revisions


Reasonable revisions are included, provided they fall within the original scope of work.

Revisions do not include:

  • New creative direction after approval

  • Re-edits due to late content changes

  • Requests outside the original brief

 

Excessive or out-of-scope revisions may count toward monthly hours or be billed separately.

5. Client Responsibilities

 

The Client agrees to:

  • Provide all necessary files, assets, and instructions in a timely manner

  • Review deliverables promptly

  • Communicate feedback clearly and consolidated when possible

 

Delays caused by missing or late materials may impact delivery timelines.

6. Payment Terms

 

  • Retainer fees are billed monthly in advance

  • Payment is due prior to the start of each service period

  • Services may be paused if payment is late

 

All fees are non-refundable once the service period begins.

7. Term & Cancellation

 

Retainers operate on a month-to-month basis unless otherwise stated.

Either party may cancel with 30 days’ written notice.

  • The final month will be billed in full

  • No refunds are provided for partially used months

  • Work completed prior to termination will be delivered as agreed

 

Hurley Audio reserves the right to terminate services immediately for non-payment or abusive behavior.

8. Ownership & Usage Rights

 

Upon full payment:

  • The Client owns the final approved deliverables

  • Hurley Audio retains the right to showcase work for portfolio or promotional purposes unless otherwise agreed in writing

 

Raw project files may be retained by Hurley Audio unless explicitly included in scope.

9. Confidentiality

 

Both parties agree to keep confidential information private and not disclose sensitive materials shared during the course of the engagement.

10. Independent Contractor Relationship

 

Hurley Audio operates as an independent contractor, not an employee or partner of the Client.

This agreement does not create an employment, partnership, or joint venture relationship.

11. Limitation of Liability

 

Hurley Audio is not responsible for:

  • Platform-specific performance issues

  • Third-party distribution errors

  • Losses resulting from delayed approvals or incorrect files provided by the Client

 

Total liability shall not exceed the amount paid by the Client in the previous 30 days.

12. Governing Law

 

This agreement shall be governed by the laws of the state in which Hurley Audio is registered.

13. Agreement

 

By engaging Hurley Audio’s services and submitting payment, the Client acknowledges and agrees to these Terms & Conditions.
